October 15, 2026: The government’s plan to restructure IDBI Bank is expected to bring fresh capital into the lender and pave the way for what officials describe as India’s largest foreign direct investment (FDI) in the financial services sector.

Union Minister Ashwini Vaishnaw said the restructuring would strengthen the institution’s role in supporting micro, small and medium enterprises (MSMEs) and emerging industries. He said a strategic partner had been selected to facilitate fresh capital infusion and create new growth opportunities.

Under the restructuring plan approved by the Cabinet Committee on Economic Affairs (CCEA), a combined 60.72% stake in IDBI Bank is to be sold to a strategic buyer. The proposed stake sale comprises 30.48% held by the Government of India and 30.24% held by the Life Insurance Corporation of India (LIC).

Following the transaction, the government is set to retain a 15% stake in the bank, while LIC will hold 19%. Their combined residual shareholding will therefore stand at 34%.

IDBI Restructuring Set to Bring Major FDI Into India’s Financial Sector

The process began with the issuance of a Preliminary Information Memorandum (PIM) on October 7, 2022, inviting expressions of interest from potential bidders.

Interested parties were required to meet eligibility conditions, including being deemed fit and proper by the Reserve Bank of India (RBI) and obtaining security clearance from the Ministry of Home Affairs (MHA). Qualified interested parties were then invited to submit technical and financial bids through a Request for Proposal.

The successful bidder will also need to undergo the RBI’s fit-and-proper assessment and present a roadmap for meeting applicable regulatory requirements before the transaction can be completed.

Focus on capital and industrial growth

Vaishnaw said the restructuring would enhance the value of the government’s and LIC’s remaining holdings while bringing additional capital into IDBI Bank and the broader financial services sector.

The proposed transaction is also significant for India’s investment landscape. According to the government’s stated assessment, its completion would mark the largest FDI inflow into the country’s financial sector to date.

The final impact will depend on the completion of the strategic sale, regulatory clearances and the new investor’s plans for the bank. The government has positioned the restructuring as part of a broader effort to strengthen financial institutions and expand access to capital for businesses and industries.
